1. Introduction & B2B Status

These Terms govern your use of FutureComplete and related SaaS solutions ("Services") provided by Inait SA, Lausanne, Switzerland ("Inait"). By accessing our Services—whether directly or via the Microsoft Azure Marketplace—you agree to these terms.

  • 1.1 Professional Use Only. You represent and warrant that you are using the Services in the course of your trade, business, or profession and not as a consumer. You further warrant that you have the authority to bind the entity on whose behalf you accept these Terms.

2. Nature of Services and Model Limitations

  • 2.1 Analytical Function. The Services utilize statistical and machine-learning models ("Digital Brains") to generate probabilistic forecasts and data trajectories based on historical and other input data.

  • 2.2 Model Limitations. You acknowledge that the Output is probabilistic and may be incomplete, inaccurate, or inconsistent with actual future events. The Output may not reflect the most current market, operational, or regulatory developments. Actual results may differ materially from any Output generated by the Services.

  • 2.3 No Sole Basis for Decisions. You must not treat the Output as the sole source of truth for any decision with material financial, operational, environmental, or safety impact. You remain solely responsible for implementing appropriate controls, human review, and validation of any Output before use in your business.

3. No Professional Advice & High-Risk Use

  • 3.1 No Regulated Advice. The Services and Output are strictly for informational and simulation purposes. You acknowledge and agree that the Services do not constitute:

    • (a) Financial advice, investment recommendations, or trading signals;

    • (b) Medical advice, diagnosis, or treatment;

    • (c) Legal, tax, accounting, or other professional advice, including legal opinions, contract drafting, or case strategy.

  • 3.2 No Client Relationship. Use of the Services does not create any lawyer‑client, doctor‑patient, fiduciary, or other professional relationship between you (or your end users) and Inait.

  • 3.3 Role Disclaimer. Inait is not acting as a financial intermediary, asset manager, energy trader, health-care provider, or client adviser under any applicable financial-market, energy-market, or health-care regulation.

  • 3.4 High-Risk Restrictions. You will not deploy the Services as the sole or primary decision-making system in safety-critical environments (including, but not limited to, energy grid operations, life-support systems, autonomous vehicles, or critical infrastructure) without appropriate redundancies and human oversight.

4. Intellectual Property (IP)

  • 4.1 Your Input. You retain all rights to the historical data, time series, and files you upload to the Services ("Input").

  • 4.2 Ownership of Output. Subject to payment of applicable fees, Inait assigns to you all right, title, and interest in the specific forecasts and data trajectories generated for you ("Output"). You may use this Output commercially.

  • 4.3 Inait Proprietary Rights. Inait retains all rights to the underlying technology, including the Digital Brain architecture, proprietary algorithms, pre-trained weights, and the FutureComplete platform structure.

  • 4.4 No Reverse Engineering. You may not reverse engineer, decompile, or attempt to extract the weights or parameters of the Inait models.

  • 4.5 License to Input. You grant Inait a non‑exclusive, worldwide, royalty‑free licence to host, copy, process, transmit, and display Input solely as necessary to (a) provide the Services to you, (b) maintain and secure the Services, and (c) generate aggregated and anonymised statistics in accordance with Section 8.3. Inait will not use your Input to train generally available models used for other customers without your prior written consent.

5. Operational Controls & Acceptable Use

  • 5.1 Acceptable Use. You agree not to use the Services:

    • (a) In violation of any applicable law, regulation, or third-party rights;

    • (b) To generate or distribute malware, spam, or harmful content;

    • (c) For security testing, scraping, or benchmarking competitive products without prior written consent.

  • 5.2 Changes to Terms. Inait may update these Terms from time to time. Material changes will be notified via email or through the Services. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

  • 5.3 Suspension & Termination. Inait reserves the right to suspend your access immediately for non-payment, security risks, or violation of Section 5.1. Either party may terminate these Terms for material breach if not cured within 30 days of notice. Upon termination, your right to access the Services ceases immediately.

6. Infrastructure & Service Levels

  • 6.1 Azure Dependence. The Services may depend on third-party infrastructure, including Microsoft Azure. Inait is not responsible for unavailability or data loss caused by such third-party services but will use commercially reasonable efforts to mitigate material issues.

  • 6.2 Service Levels. Unless a separate Service Level Agreement (SLA) is signed, Inait provides the Services using commercially reasonable efforts but does not guarantee specific uptime or support response times.

7. Warranties & Disclaimers

  • 7.1 No Warranties ("As Is"). To the maximum extent permitted by law, the Services and Output are provided "AS IS" and "AS AVAILABLE." Inait makes no representations or warranties, express, implied, statutory, or otherwise, including any warranties of accuracy, completeness, fitness for a particular purpose, merchantability, non-infringement, or that the Services will be error-free.

  • 7.2 Dependency on Data. You acknowledge that the accuracy of the Output depends on the quality of your Input and external factors. Inait has no obligation to update any Output after generation.

8. Limitation of Liability (Swiss Law)

  • 8.1 Business Use. The Services are provided for professional business use. Inait is not responsible for trading losses, market fluctuations, or operational downtime resulting from business decisions based on the Output.

  • 8.2 Cap on Liability. To the maximum extent permitted by Swiss law, Inait’s aggregate liability arising out of these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

  • 8.3 Exclusions. In no event shall Inait be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.

  • 8.4 Mandatory Liability. Nothing in these Terms excludes or limits Inait’s liability for:

    • (a) Unlawful intent (dol) or gross negligence (faute grave);

    • (b) Death or personal injury caused by negligence;

    • (c) Any other liability which cannot be excluded or limited under applicable law (Art. 100 CO).

9. Confidentiality

  • 9.1 Protection. Inait will treat your Input and non-public business information as confidential ("Confidential Information") and will use it only to provide and maintain the Services.

  • 9.2 Model Improvement. Inait will not use your Confidential Information to improve generally available models unless explicitly agreed in writing (e.g., via a pilot agreement), in accordance with our Privacy Policy.

  • 9.3 Aggregated Data. Inait may generate and use aggregated or anonymised statistics (which do not identify you or your underlying data) for internal analysis and benchmarking.

10. Indemnity

You agree to indemnify and hold harmless Inait, its affiliates, and employees from any third-party claims, damages, and legal fees arising out of: (a) your use of the Services in violation of these Terms; (b) your provision of the Output as professional advice to third parties; or (c) any combination of the Services with non-Inait products resulting in a claim.

11. Governing Law & Jurisdiction

  • 11.1 Governing Law. These Terms are governed by Swiss Law, excluding its conflict-of-laws provisions.

  • 11.2 Jurisdiction. The exclusive place of jurisdiction for all disputes arising from these Terms is Lausanne, Switzerland.
